The Agricultural Marketing Authority (AMA) is seeking a highly skilled and experienced Head of Compliance/Company Secretary to join our dynamic team. As the Head of Compliance/Company Secretary, you will be responsible for overseeing and managing the legal services function within AMA.

Your role will involve providing professional advice, ensuring compliance with statutory requirements, and supporting the CEO, Board, and senior management in making informed decisions. This is an excellent opportunity for a motivated individual to contribute to the development and success of the agricultural sector in Zimbabwe.

Duties and Responsibilities:

  • Provide high-quality legal and related advice/analysis to AMA staff, management, Board, and Committees on matters pertaining to the authority’s statutory remit and related issues.
  • Manage and coordinate AMA’s approach to litigation and other legal proceedings, acting as a liaison with legal advisors/representatives when required.
  • Lead the development of regulations and related materials related to AMA’s statutory functions.
  • Contribute to the preparation of draft legislation as needed.
  • Conduct legal research to support decision-making processes and provide accurate and up-to-date information.
  • Discharge the statutory functions assigned to the Company Secretary by the Companies Act.
  • Ensure compliance with company law, including the maintenance of minutes of Board and Committee meetings and statutory registers.
  • Act as Secretary to the Board and its Committees, facilitating effective communication and coordination.
  • Ensure stakeholders in the sector comply with AMA’s mandate and regulatory requirements.
  • Negotiate and draft contracts, ensuring legal and regulatory compliance.
  • Conduct and coordinate due diligence investigations when necessary.

Qualifications and Experience:

  • LLB Degree or equivalent qualification.
  • A relevant Master’s Degree is an added advantage.
  • Admitted Attorney with 8-10 years of post-admission experience in a Commercial law environment.
  • Experience in negotiating and drafting contracts.
  • Proficiency in conducting legal research and drafting opinions, leading negotiations on high-value agreements.
  • In-depth knowledge of relevant corporate governance and risk management legislation, codes, and regulatory requirements impacting AMA’s operations.
  • At least 5 years of experience at a senior management level.
  • Demonstrated integrity, professionalism, assertiveness, and innovation.
  • Ability to collaborate with government and other stakeholders.
